These Terms and Conditions (“Terms”) govern your use of intrepitek.com (the “Site”) and any services provided by Intrepitek (“Intrepitek,” “we,” “us,” or “our”). By using the Site, contacting us, or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

Services

Intrepitek provides managed IT and cybersecurity services for small businesses, primarily in North Dakota and Minnesota. Service scope and terms are outlined in individual service agreements provided at the time of engagement.

Services are offered on a month-to-month basis unless otherwise agreed in writing. Intrepitek does not require long-term contracts. Either party may terminate services with 30 days written notice. Services will continue through the end of the current billing period following notice.

Service pricing is established at sign-up and confirmed in your individual service agreement. Intrepitek locks in pricing for existing clients at the rate in effect when service begins. If Intrepitek adjusts its pricing in the future, existing clients will not be affected as long as their service remains active and in good standing.

Intrepitek offers a referral program for active clients. For each referred business that becomes an active client: if the referred business has fewer employees than the referring client, the referring client receives one month of service credit; if the referred business has the same or more employees as the referring client, the referring client receives three months of service credit. Credits are applied to the referring client’s account following 30 days of active service by the referred client. Intrepitek reserves the right to modify or discontinue the referral program at any time with 30 days notice to active clients.

To receive effective service, you agree to provide accurate and complete information about your business and technology environment, allow reasonable access to systems and devices under management, communicate promptly when issues arise so they can be addressed efficiently, and notify Intrepitek of significant changes to your technology environment including new devices, users, or systems.

You agree to use our services only for lawful business purposes. You agree not to use our services or the Site to transmit harmful, illegal, or malicious content, attempt to gain unauthorized access to systems, networks, or data, or engage in activities that could damage, disable, or impair our services or infrastructure

While Intrepitek implements backup solutions as part of managed services, you are responsible for maintaining awareness of what data is covered under your specific service plan. We strongly recommend reviewing backup scope and recovery procedures during onboarding and periodically thereafter. Intrepitek is not liable for data loss caused by events outside our control, including hardware failure prior to backup completion, third-party platform outages, or client-initiated deletions.

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Intrepitek does not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Managed services are provided with reasonable care and skill but no warranty is made that services will prevent all security incidents or system failures.

To the fullest extent permitted by applicable law, Intrepitek’s total liability for any claim arising out of or related to the Site or services will not exceed the total amount paid by the client for the one month of service most directly related to the claim. In no event will Intrepitek be liable for indirect, incidental, special, or consequential damages including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Intrepitek works with trusted technology partners to deliver its solutions. These partnerships allow us to provide professional-grade tools and platforms to our clients. Third-party platforms and services are governed by their own terms, conditions, and privacy policies. Intrepitek is not responsible for the practices or content of third-party services.

You agree not to use the Site for unlawful purposes, attempt to disrupt or compromise the Site’s operation or security, or copy, reproduce, or redistribute Site content without prior written permission from Intrepitek. All Site content including text, images, logos, and graphics is owned by Intrepitek or its licensors and is protected by applicable intellectual property laws.

You agree to indemnify and hold harmless Intrepitek and its owners, employees, and contractors from any claims, damages, losses, or expenses including reasonable attorney fees arising out of your use of the Site or services, your violation of these Terms, or your violation of any applicable law or third-party right.

These Terms are governed by the laws of the State of North Dakota, without regard to its conflict of law provisions. Any dispute arising under these Terms will first be submitted to good faith negotiation. If not resolved within 30 days, disputes will be subject to binding arbitration in Fargo, North Dakota, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

Intrepitek may update these Terms from time to time. The Last Updated date at the top of this document reflects the most recent revision. We will provide notice of material changes by posting the updated Terms on the Site and, where appropriate, notifying active clients directly. Continued use of the Site or services after changes take effect constitutes acceptance of the revised Terms.
